1. OVERVIEW

  • UPPAREL (ABN 61 672 269 788) (“we”, “us”, “our”) owns and operates the website at https://upparel.com.au/ (the Site). We provide a textile recycling service (the Clothing Recycling Collection Service) and may offer other goods and services from time to time (together, Products and Services).
  • Please read these terms and conditions (the Terms) carefully as they govern your access to and use of the Site and any Products/Services we supply.
  • We may amend these Terms at any time by publishing updated Terms on the Site. By continuing to use the Site or purchasing Products/Services, you accept the Terms as updated from time to time.

2. ACCESS TO THE SITE

To access and use the Site, you must:

  • be at least 18 years old; and
  • have the legal capacity to enter into a binding agreement.

3. ACCOUNT

  • You may need to create an account (Account) to access certain Site features (for example, order history or managing bookings where available).
  • When you create an Account, you must provide a valid email address and set a password. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your Account.
  • You must:
    • keep your details accurate and up to date;
    • keep your password secure and confidential; and
    • notify us immediately if you suspect unauthorised access to your Account.

4. USE OF THE SITE

  1. Personal use only
    • You may view the Site via web browser or mobile device and may print or download extracts for your personal, non-commercial use.
    • Any other use (including reproducing, modifying, distributing, transmitting, republishing, displaying, or performing any content) is prohibited without our prior written consent.
    • You must not modify or copy the Site layout or any software/code contained in the Site or used to provide the Services.
  2. You must not interfere with the Site You must not:
    • interfere with or disrupt the Site (including by introducing viruses, spyware, malware, or similar);
    • provide false or misleading information;
    • create accounts through unauthorised means (including bots or scripts);
    • restrict another user from using the Site; or
    • encourage or facilitate violations of these Terms.

5. CLOTHING RECYCLING COLLECTION SERVICE & ORDERS

  1. Ordering
    • When you place an order via the Site (Order), you will select the applicable Clothing Recycling Collection Service option (for example, 10kg, 20kg, 30kg, 40kg or 50kg collections, where offered).
    • Orders are charged at the time you place the Order, using the payment methods made available at checkout.
    • We may accept or reject an Order at our discretion (for example, where there is an error in pricing/description, payment fails, details are incomplete, or suspected misuse/fraud). If we reject an Order, we will notify you and (where applicable) refund amounts paid for the rejected Order.
  2. How the Clothing Recycling Collection Service works
    • Unless stated otherwise on the product page or in your confirmation email, after purchase you will receive instructions (and where applicable, a booking link) to organise your collection or lodgement.
    • Packaging requirements:
      • Items must be clean and securely packaged.
      • Please reuse a box or suitable durable packaging; we generally do not send you a box.
      • Couriers may refuse to collect certain packaging (for example, unsecured/unsuitable packaging).
      • You are responsible for ensuring your package is safe to handle and transport.
    • Collections / drop-off:
      • Where offered, you may be able to schedule a courier collection date/time.
      • Where offered, you may also be able to lodge your package(s) at a local post office instead of waiting for a courier collection.
      • Carrier collection availability (including any weekend restrictions) is determined by the carrier and your location.
    • No public facility drop-offs: We do not accept public drop-offs at our facilities unless we expressly confirm otherwise.
  3. Delivery (where physical goods are supplied)
    • If we supply physical Products (other than a label/booking for the Clothing Recycling Collection Service), shipping timeframes and fees (if any) will be shown at checkout or in your order confirmation.
    • We use third-party carriers and you agree to comply with their applicable terms and policies. To the extent permitted by law, we are not responsible for delays outside our reasonable control.
  4. Payments & billing
    • You must provide complete and accurate billing/payment details.
    • You authorise us (and our payment processors) to charge the amount shown at checkout for your Order.
    • You are responsible for any bank or card issuer fees that may apply.
  5. Price
    • Prices are shown in Australian Dollars (AUD) unless stated otherwise.
    • We may change prices from time to time, but changes will not affect Orders already paid for (except where required by law or to correct a genuine pricing error).
  6. Risk and title
    • For physical Products we ship to you, risk passes to you on delivery. Title passes when we receive full payment (unless otherwise required by law).
    • For textiles you send to us as part of the Clothing Recycling Collection Service, risk remains with you until the package is collected by the carrier or lodged/accepted by the relevant lodgement point (as applicable).
  7. Cancellations, changes & refunds
    • If you need to cancel or change an Order, contact us as soon as possible at hello@upparel.com.au. We will assess requests in line with these Terms and any rights you have under the Australian Consumer Law.
    • To the maximum extent permitted by law, we may decline refunds where a Service has already been supplied or a label/booking has already been issued/used, except where required by law.
    • Where a refund is approved, it will be processed back to the original payment method unless otherwise agreed.
  8. Special offers, rewards, discounts
    • We may offer promotions, partner rewards, discounts, or voucher codes from time to time, subject to any additional terms disclosed with the offer.
    • You must not create multiple or false accounts or otherwise act dishonestly to obtain offers or rewards.
    • We may suspend/terminate accounts or cancel Orders where we reasonably believe this clause has been breached.
  9. Termination
    • We may suspend or terminate access to the Site or cancel an Order where reasonably necessary to protect the Site, our operations, other users, or where we reasonably suspect misuse, fraud, or breach of these Terms.

6. MATERIALS

We may publish articles, information, commentary and other content on the Site (Materials). Materials are provided for general information only and may be updated or removed at any time.

7. USER CONTENT

  • If you submit content to the Site (reviews, comments, images, etc.) (User Content), you grant us a perpetual, non-exclusive, royalty-free, worldwide licence to use, reproduce and communicate that User Content on the Site and our channels.
  • You must not post User Content that is unlawful, misleading, defamatory, offensive, infringing, or that otherwise breaches any rights of any person.
  • We may remove or block User Content that violates these Terms.

8. MARKETING COMMUNICATIONS

If you create an Account or place an Order, you may receive service-related communications (e.g., order confirmations). Where you opt in to marketing, you may also receive promotional messages. You can opt out of marketing at any time using the unsubscribe link or by emailing hello@upparel.com.au.

9. THIRD-PARTY LINKS

The Site may contain links to third-party websites (Third-Party Links). We do not control and are not responsible for Third-Party Links or their content. Linking does not imply endorsement.

10. INTELLECTUAL PROPERTY

  • We (and/or our licensors) own all intellectual property in the Site and Materials.
  • You must not copy, reproduce or exploit any part of the Site except as permitted by these Terms or by law.
  • Trademarks, logos and brand names displayed on the Site belong to their respective owners.

11. PRIVACY

We collect, use and disclose personal information in accordance with our Privacy Policy and applicable privacy laws (including the Privacy Act 1988 (Cth) and Australian Privacy Principles).

12. DISCLAIMER

  • The Site and Materials are provided “as is” and “as available”.
  • To the extent permitted by law, we do not warrant that the Site will be uninterrupted, error-free, or free from harmful components.
  • You are responsible for determining whether the Products/Services are suitable for your needs.

13. LIMITATION OF LIABILITY

  • Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded.
  • To the fullest extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, loss of opportunity, or loss of data arising from your use of the Site or any Products/Services.
  • To the extent permitted by law, where we are liable, our liability is limited (at our option) to resupplying the relevant Services or refunding the fees paid for the relevant Services.

14. INDEMNITY

You agree to indemnify us against losses, liabilities, claims and expenses (including reasonable legal costs) arising out of or in connection with your breach of these Terms, your misuse of the Site, or your User Content.

15. FORCE MAJEURE

We are not liable for delays or failures caused by events beyond our reasonable control (including natural disasters, industrial action, carrier disruptions, public health emergencies, or government orders). We will use reasonable efforts to resume performance as soon as practicable.

17. VARIATION TO THE TERMS

We may vary these Terms by publishing updated Terms on the Site. Continued use of the Site after publication constitutes acceptance of the updated Terms.

18. SEVERABILITY

If any provision is invalid or unenforceable, it will be read down or severed to the extent necessary, and the remainder will continue in full force.

19. JURISDICTION

These Terms are governed by the laws in force in Victoria, Australia. You and we submit to the exclusive jurisdiction of the courts of Victoria, Australia.
